THE BANYAN TREE OF KEY WEST CONDOMINIUM AND OWNERS

ASSOCIATION, INC.  POLICY FOR SUBMISSION OF NAME

AS A CANDIDATE FOR ELECTION TO A BOARD POSITION

There are seven (7) board members on the Banyan Board.  Each member has a 3 year staggered term.  There is an election each year with either two or three positions up for election.

The following is the Banyan Tree of Key West Condominium and Owners Association, Inc. ("Association") policy for an Association member to submit his/her name as a candidate for election to the Association's board of directors ("Board"):

In order to run for a position on the Board, the only eligibility requirements are: (i) the candidate must, at the time of nomination and at the time of the election, own a timeshare interest at the Banyan Tree of Key West (“Banyan”); and (ii) the candidate must be in good standing with the Association with respect to payment of maintenance fees, taxes, and all other charges.   Any member desiring to run for a Board position may nominate himself/herself by submitting a letter to:  Paul Mills, CPA, 1541 Fifth Street, Key West, Florida 33040 no later than close of business on September 1st.

This letter should be submitted on a single sheet of 8 ½ by 11 inch paper. The letter may contain print on both sides of the paper and can include as much information as fits.  This letter will be duplicated and sent to all Association members as a part of the annual election mailing so that they can review the information submitted by each candidate. This letter will be the only information sent to all owners by the Association (at the Association's expense) to solicit votes. Each candidate should include the following in his or her letter:

·            The candidate's name, address, telephone number, and e-mail address, if applicable.

·            The number of timeshare interests the candidate owns at the Banyan and the date on which the candidate first purchased a timeshare interest at the Banyan.

·            The reasons why Association members should consider voting for the candidate to serve on the Board.

·            Any other information that the candidate believes is important and helpful regarding the election.

A candidate should be prepared to have Association members call or e-mail him/her if they have questions or comments about the candidate's application.

Only candidates whose nomination letters have been received by Paul Mills prior to close of business on September 1st   will be included in the election mailing to Association members at the Association's expense.  Nominations will be accepted from the floor at the annual meeting.

Approved by the Association Board on April 19, 1999.
